Terms and Conditions
These terms cover the conditions for the delivery of goods and services from Moelskov Studio to its clients. Any deviations from these terms must be agreed upon in writing. Moelskov Studio reserves the right to modify the terms without prior notice, and these changes may apply to agreements already in place.
Offers and Agreement Formation
Offers on logo design etc. are valid for 14 days from the date of issuance. An agreement is considered finalized once Moelskov Studio receives the customer's written acceptance. If requested, an order confirmation will be provided. Orders placed without a prior offer from Moelskov Studio are treated as confirmed agreements.
Once an agreement for a project is established, it is expected that the client provides feedback on design proposals in a timely manner (within 5 working days at the latest). If feedback is not received, Moelskov Studio reserves the right to invoice for the time spent on the task up to the delivery of the design proposal.
Pricing and Payment Formation
All prices are listed exclusive of VAT. Moelskov Studio reserves the right to adjust hourly rates and material costs for future assignments. Moelskov Studio is entitled to charge for the following additional work:
- If the materials provided by the client are unsuitable or incomplete.
- If the client requests changes after the work has commenced.
- If the client requests further revisions beyond three rounds of corrections.
- If the payment deadline of 7 days is missed (unless otherwise agreed), Moelskov Studio may impose late fees and additional collection costs.
Payment is always 50% before start of a project and 50% when a design is approved by the customer (before delivery).
Delivery
Delivery is made when the product is completed, or within the agreed timeframe (deadline).
The client may cancel the agreement if there is a significant delay in the schedule. A delay of more than 30 working days from the agreed deadline is considered significant. The client cannot claim delays for products that have already been delivered.
If delays are caused by factors beyond Moelskov Studios control (e.g., late deliveries from subcontractors), such delays will not entitle the client to remedies for breach of contract, including cancellation of the agreement. Mellskov Studio cannot be held responsible for delays or delivery issues due to force majeure.
If an event beyond Moelskov Studios control increases the cost of fulfilling delivery obligations, Moelskov Studio is not obligated to complete the task.
Moelskov Studio cannot be held responsible for delayed or lost shipments due to postal or freight carrier issues if timely dispatch can be proven in relation to the agreed delivery time.
The client may cancel an agreement, but this must be done in writing and before work begins. If work has already started, the client will be billed for the hours spent.
Ownership
Ownership and usage rights to physical and digital copies of a product only pass to the client after full payment to Moelskov Studio is received.
All goods and products remain the property of Moelskov Studio until full payment is made.
After ownership is transferred to the client, Moelskov Studio reserves the right to use the completed work as a reference for marketing purposes.
Rights
All rights to the services and products created by Moelskov Studio, either fully or partially, belong to the client once payment has been made.
The client does not automatically have the right to receive original, editable files created by Moelskov Studio, as these files may contain elements of Moelskov Studios proprietary work. However, an agreement regarding this can be made.
Moelskov Studio will store files for at least 3 years after the project is completed. Responsibility for file storage ends if a separate agreement for file handover is made.
Sketches, layout proposals, and template-like elements are not subject to delivery.
Deficiencies
Moelskov Studio is not responsible for errors that the client did not correct in written proof or test prints.
If the client supplies files or other materials for the project, Moelskov Studio is not liable for any errors or deficiencies related to these materials.
If a delivery is found to be defective, the client must notify Moelskov Studio immediately. Moelskov Studio has the right to rectify the defect within reasonable limits.
The client acknowledges that minor color discrepancies between the approved format and printed media may occur.
Liability
The client is responsible for ensuring the legality of the content and design of the products, both in terms of public and private law. It is emphasized that Moelskov Studio does not take the initiative to assess the legality of any marketing measures, regardless of the extent of Moelskov Studios involvement in their design.
Moelskov Studio is not liable if the client lacks the right to reproduce or publish graphics, images, trademarks, or other content that may be subject to third-party rights.
Limited Liability
In cases of delays or defects in the delivered product, Moelskov Studio is not liable for loss of business, loss of profit, or any other indirect loss, including losses stemming from the client's legal relationships with third parties.
Moelskov Studio is only liable for damages resulting from gross negligence or willful misconduct. Moelskov Studio is not responsible for indirect losses or direct losses arising from delays, data loss, or lost revenue.
Governing Law and Jurisdiction
Any disputes arising from these terms or the business relationship between the parties will be governed by Danish law.
